APHRODITE CHOCOLATES AFFILIATE AGREEMENT

TERM  - This Agreement will begin upon acceptance by Aphrodite Chocolates of your Affiliate application and will remain in force until it's termination in writing by either party.

INTERNATIONAL AFFILIATES - Aphrodite Chocolates is a UK based company but we welcome applications from international affiliates, however please be aware that all commission payments will be made in UK pounds sterling or (by special arrangement and at our discretion only) in $US Dollars.

PAYMENTS AND COMMISSIONS - We operate a 3 tier affiliate program - On acceptance as an Affiliate for this program you will receive or be entitled to:

  • 1st Tier:   12.5% of the revenue (excluding shipping charges) accruing from all approved and completed orders placed through your unique Affiliate Link, including your own purchases. 

  • 2nd Tier:   2.5% of the revenue (excluding shipping charges) accruing from any new affiliates signing up through your affiliate link.  

  • 3rd Tier:  12.5%. Affiliates can use commissions used to purchase Aphrodite chocolates products through their affiliate account (Kind), and the amount used for the transaction (excluding any delivery charges) will be doubled.

    • Example: If you order chocolates value £20.00 and charge it to your affiliate account, because we double any commission you use for this purpose, you only pay £10.00 (+ delivery if applicable). 

    • Note: This does not affect your right to have your affiliate commissions redeemed in cash at the 12.5% and/or 2.5% commission rates.

Subject to the following:

  • Commissions will only be paid on sales which are made through approved Affiliate Links and can only be earned between the date of acceptance of your Affiliate application and the date of notice of termination by either party.

  • Shipping All retail prices on our website include packaging and UK shipping costs (extra cost for international delivery is automatically allowed for), therefore for the purposes of calculating affiliate commissions a nominal 10% will be deducted from monthly affiliate sales totals before affiliate commissions are calculated, to cover these basic costs. The 10% is taken from your total sales, not your commission.

    • Example: Your sales for the month are £1,000.00 total, we take off 10% (£100) to cover basic packaging and shipping which leaves £900, your commission is then calculated at 12.5% which gives you a commission of £112.50 in cash (or £225.00 in kind)

  • Payment of commissions will usually be by Cheque in UK Pounds Sterling (UK£) or (by special arrangement only) PayPal in US Dollars (US$). Alternative methods of payment may be instituted in future.

  • The minimum amount payable by cheque is UK£25.00 (or equivalent in US$ for PayPal), there is no minimum value for product purchases charged to your Affiliate account (see below).

  • You may take advantage of your accrued Affiliate commissions to order products from Aphrodite Chocolates website and charge them to your Affiliate account, provided the account contains sufficient funds to cover the full cost including any shipping charges.

  • Commissions will accrue in your Affiliate account until you request payment in writing by emailing us at , stating the amount (minimum £25.00) you wish to withdraw. Payment requests are limited to one request per calendar month.

  • On our receipt of your request, a cheque in UK£'s for the sum requested (minimum £25.00) will be mailed to you within 48 hours, weekends and UK public holidays excepted, at the postal address provided by you at sign-up. NOTE: It is your responsibility to make sure address and contact details are kept up to date, we cannot accept liability for any losses due to out of date address information. 

  • Charge back's etc, A minimum account balance of UK£5.00 or 5% of the average monthly balance, whichever is the highest, will be retained in your Affiliate account to cover possible commission clawback or credit card chargebacks, refunds, fraudulent purchases etc. If these exceed the value of funds in your account in any given month, the shortfall will be deducted from the following months commissions.

  • The retained balance, less any clawbackor credit card chargebacks, refunds, fraudulent purchases etc, will remain your property and, subject to the terms of this agreement, will become payable to you in full on termination of this agreement by either party.

  • All queries relating to commissions and operation of the program will be dealt with by us in a timely and fair manner.

INDEPENDENT ORDER TRACKING - Order tracking is carried out using software owned and operated by, and deployed on a server operated by, an independent third party company, not in the control of Aphrodite Chocolates and works as follows:

  • A unique Affiliate ID:number/code is assigned to you when you are first accepted into the program, it is the individual affiliates responsibility to ensure that their unique ID:number/code is included in all affiliate banners and links that are used to track sales and that the links are working correctly. Instructions on how to do this are in your affiliate area of our website. While we will do what we can to help, we can accept no responsibility for lost commissions etc, due to malfunctioning affiliate links.

  • Individual sales are tracked via a cookie containing your affiliate ID: number/code deposited on the purchasers computer. The cookie is valid indefinitely and will track all click-thro's and purchases made by that customer, for as long as it remains on their computer, and credit them to your affiliate account.

  • For a sale to generate a commission to an Affiliate, the affiliate links on your site must be working correctly, the customer must have cookies enabled on their computer, and correctly complete the online order form, and remit full payment for said sale by using a valid and legal method of payment.

STATISTICS & REPORTS - On acceptance into the program, we will provide you with login details, (login url, username, password) to access your exclusive administration panel. Statistics are available, server downtime excepted, providing figures for click-thru, generated sales and commissions due etc, historical data is also available. NOTE: Password security is your responsibility so look after it, we do not accept responsibility for losses due to compromised passwords. 

ORDER PROCESSING - Aphrodite Chocolates will be solely responsible for the processing of all orders generated from Affiliate links. We reserve the right to reject any order that is incomplete or is potentially fraudulent or does not comply with our operating procedures, Terms & Conditions of Sale and/or general trading policies, as may be amended from time to time.

PERMITTED MARKETING PRACTICES - You may use any of the following methods to promote Aphrodite Chocolates products: 

  • Aphrodite approved text links or banners downloaded from our websites and posted on your Aphrodite Approved Websites.

  • Factual Testimonials and Recommendations.

  • Email and Email Newsletters where the recipients have specifically agreed to receive email from you, the affiliate. NOT a third party!

  • Advertising or links placed with reputable 3rd party publications, search engines, directories and websites etc.

  • Product Reviews and Articles.

  • Any other form of promotion or use of logo or material from our website specifically approved in writing by Aphrodite Chocolates.

This is not an exclusive list and as a general rule, if you intend using any promotion methods not listed here, email us for approval first. Failure to do so may place you in breach of this agreement, see PROHIBITED ACTIVITIES clause below. 

PROHIBITED ACTIVITIES - We value our good name and as a matter of policy we do not approve of, or condone Spam or indiscriminate mass unsolicited e-mail marketing or any other form of promotion or marketing which may be deemed spamming or in any other way questionable. The use of any of these methods are expressly prohibited. 

Including, but not exclusive to: 

  • the USE OF ANY E-MAIL ADDRESS LISTS PURCHASED OR OTHERWISE OBTAINED FROM 3rd PARTIES AND/OR OBTAINED WITH EMAIL GATHERING SOFTWARE

  • Any other marketing practices which may be prejudicial to the good name of Aphrodite Chocolates.  

  • You may not make unsubstantiated claims about or otherwise misrepresent Aphrodite Chocolates or our products in any way whatsoever. 

This policy will be rigorously enforced and any Affiliate found to be in contravention for any reason whatsoever will be subject to immediate termination without compensation, and will forfeit all outstanding commissions. Furthermore, we reserve the right to pursue damages for defamation of good name by any means available to us.

TERMINATION - Both parties to this agreement may terminate it at any time, by giving the other party written notice of termination. On termination, all outstanding commissions accrued up to the termination date less any deductions for chargebacks, refunds or fraudulent orders, will be paid to you, the affiliate, within 90 days of the termination date unless the affiliate is in contravention of the PROHIBITED ACTIVITIES clause in which case the conditions and remedies contained therein may apply.

MODIFICATION -  It is not our intention to make, nor will we institute, any changes which will retroactively affect the value of commissions legitimately earned by affiliates. However in all other instances, Aphrodite Chocolates may modify all or any or part of the terms and conditions contained in this Agreement at any time and at our sole discretion. Changes will be notified by posting notice of any changes and/or an entire new agreement on this website. Modifications may include, for example, changes in the scope and/or value of future commissions, discounts, payment procedures and Program rules.

IF YOU DEEM ANY MODIFICATION UNACCEPTABLE, YOU MAY TERMINATE THIS AGREEMENT AT ANY TIME. YOUR CONTINUED PARTICIPATION IN APHRODITE CHOCOLATES AFFILIATE PROGRAM FOLLOWING THE POSTING OF A NOTICE OF CHANGE OR NEW AGREEMENT ON THIS WEBSITE WILL CONSTITUTE BINDING ACCEPTANCE OF ALL CHANGES WITHOUT EXCEPTION.

LIMITATION OF LIABILITY - Aphrodite Chocolates will not be liable for any indirect, special or consequential damages, or loss of any description, arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the sum of the total commissions (less any refunds, fraudulent purchases or chargebacks) paid or payable under to this Agreement.

GOVERNING LAW - This Agreement shall be governed by and construed in accordance with English law and all parties submit to the exclusive jurisdiction of an English court in the county of Essex in England and irrevocably consent to the jurisdiction of such court.  You may not assign this Agreement, by operation of law or otherwise, without Aphrodite Chocolates prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THIS PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

By submitting the Affiliate Application Form, you acknowledge that you have read this affiliate agreement and agree to all its terms and conditions and that you have independently evaluated this programme and are not relying on any representation, guarantee, or statement other than as set forth in the affiliate agreement. NOTE: We reserve the right to refuse any application we consider to be unsuitable.
